一、合同名稱 本合同系乙方（買方）與甲方（賣方）針對（乙方訂購商品的名稱）簽訂的外貿訂單合同。

二、商品名稱及數(shù)量 甲方向乙方供應以下商品：

賣方保證按照買方指定的要求和合同條款出售的產(chǎn)品，具有正確的質量和規(guī)格；

如果買方收到的商品質量有問題，買方有權拒收；

六、包裝

賣方應按照買方指定的包裝要求正確包裝，以保證貨物安全；

如果買方收到的商品包裝不符合要求，買方有權拒收；

七、交貨及發(fā)票

賣方應按照買方指定的交貨期限，將商品及時送達買方指定的港口；

賣方應按照買方指定的質量保證要求，開具正確的商品發(fā)票；

八、其他條款

買賣雙方同意在貨物到達買方指定港口前，本合同生效；

買賣雙方應遵守中華人民共和國現(xiàn)行有效的法律法規(guī)；

十、爭議解決

因本合同發(fā)生的任何爭議，買賣雙方應友好協(xié)商解決；

如果協(xié)商不能解決，任何一方有權向有管轄權的法院提起訴訟。

The L/C must specify that transhipment and partial shipments are allowed.

付款條件：

買方須于_____年_____月_____日將保兌的，不可撤銷的，可轉讓可分割的即期信用證開到賣方。信用證議付有效期延至上列裝運期后15天在中國到期，該信用證中必須注明允許分運及轉運。

17 Force Majeure：

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

人力不可抗拒因素：

由于水災、火災、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內將有關機構出具的不可抗力事件的證明寄交對方。

18 Arbitration

All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

仲裁：

在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負擔。
